The Board of Directors of the HFMA is always seeking ways to make it as easy as possible for manufacturer members to contribute to the work of the HFMA. The HFMA especially seeks to have board and officer members that represent a mix of those newly elected with fresh ideas, as well as those who bring experience in HFMA leadership. The two by-laws changes recommended below are designed to help make this happen.
The HFMA has 4 officers and 7 directors. These are the President, Vice President, Secretary, Treasurer, five at large directors and one director each from Maui and Hawaii Island. Currently the term of office for officers and directors is one year. The HFMA has elections every year. This would not change.
Currently the Vice President automatically becomes President. Because there is a two year requirement of service for someone wanting to be President - one year as Vice President and one year as President - the HFMA is finding it hard to get nominations for the office of Vice President. Many of our busy members are willing to serve one year, but too few feel they can make the commitment in their lives for two years. Therefore the board is recommending that the requirement for Vice President to become President be eliminated.
Yet, after serving for one year, many of our officers and directors find the experience rewarding and feel they can commit for another year. Since a percentage of our board and officers are willing to commit for one more year, our HFMA board has remained fairly stable for years, with an average of 4-5 of our officers and or directors being replaced per year. This has allowed new and fresh ideas into the HFMA leadership while keeping knowledge and experience intact.
Currently, the by-laws say that an officer can only serve for one term (one year). Since officers are sometimes willing to run for office one more year, the board is recommending that any officer can serve up to two years (provided duly nominated and elected for that year by members).
Therefore the two recommended changes are:
1. Delete the requirement that the Vice President automatically becomes the President.
2. Allow any officer to serve up to two terms (two years) in the same office.
These changes will need to be voted on by manufacturer members, so you will be receiving ballots as well as pre-addressed and pre-stamped envelopes to return them by mail.
